Administrative Council

The Board of Directors consists of 8 Directors who have the primary duty the Company‘s guidance and strategic planning. The Board of Directors is also responsible for outline the Company’s general policies and guidelines and perform the duties conferred to them by the Brazilian Corporation Law.

Partner of FIR Capital and member of its Executive Committee. Manager of FIR Capital Fundos de Participações S/A. Member of the Board of Directors of FIR Capital Gestão de Investimentos e Participações S/A. Co-founder and CEO of CafesAll S/A (2000/2001) and Angel Investor at VERTEX Seguros (2001). Graduated in Law from UFMG in 1996, he received the title, with honors, of Master of Laws from Northwestern University School of Law, in 1998. He attended an extension program in capital markets at Harvard University. He received a scholarship granted by the Ministry of Foreign Affairs of Italy, in the Management of Technological Innovations program taught in Rome (1992). Walfrido Silvino dos Mares Guia Neto See

He graduated in Chemical Engineering from the School of Engineering of the Federal University of Minas Gerais in 1966. He also graduated in Business Administration from the Faculty of Economic, Administrative and Accounting Sciences of Belo Horizonte – FUMEC in 1973. He joined the Company in 1966 as one of the founding partners. He held various public positions, the last being during the government of President Luiz Inacio Lula da Silva, Minister of State for Tourism (2003-2007) and Minister – Chief of the Secretariat of Institutional Relations of the Presidency of the Republic (2007). Mr. Walfrido served as a member of the board of directors of Biobrás until 2001, when he was incorporated by Novo Nordisk and currently holds the position of vice chairman of the board of directors of Kroton Educacional.

Luiz Francisco Novelli Viana See

Luiz Francisco is a founding partner and president of TMG Capital. Throughout the history of the fund has led several investments in the areas of Health, IT, Information Services and Telecom, Decision Analytics, Biotechnology, Media and Financial Technologies. Prior to founding TMG, Luiz Francisco was CEO of Latipart between 1995 and 1997, a holding company formed to restructure five private Brazilian companies. Previously, Mr. Viana was a founder, Chairman and CEO of BHM / Arlabank from 1988 to 1994. BHM / Arlabank was a joint venture between BHM, Mr. Viana‘s Investment Banking boutique and Arlabank, an investment consortium bank comprised of banks in the Middle East and Latin America. The company was sold to Assurance General de France (AGF) in 1994; between 1978 and 1989, Mr. Viana was a senior director and later CEO of the HM group, at that time, one of the Brazilian groups with operations in retail and wholesale, financial and credit card distribution with revenues of around U $ 1 billion. Luiz Francisco presides over and acts on various boards of companies, as well as being chairman and founder of GVCepe, a private equity research center in Brazil. Luiz Francisco is also Chairman of the advisory board of the AFECE (association that provides services for children with intellectual disabilities). Luiz Francisco has a degree in Business Administration from the Getúlio Vargas Foundation and a Master‘s Degree in Business Administration from the Harvard Business School in Boston, USA.

Italo Aurelio Gaetani See

He has a degree in Civil Engineering from UFMG in 1961. In 1963, he founded another company, Construtora Castor Ltda., A real estate construction and real estate company based in Belo Horizonte, MG, where he is president. Mr. Gaetani was Director of SINDUSCON (Union of the Civil Construction Industry in MG), was a member of the real estate commission of the Brazilian Chamber of Construction Industry. He has received several awards, among others, the FIEMG Industrial Merit Medal and the CDL-BH Commercial Merit Medal. Mr. Gaetani is one of the main shareholders of Biomm SA. Italo held the position of member of the board of directors of Biobrás until 2001, when it was incorporated by Novo Nordisk.

Eduardo Augusto Buarque de Almeida See

Eduardo Buarque has been a partner at TMG since its inception. At TMG, Eduardo worked in investments in the financial services sector, in addition to leading prospecting efforts in various segments and sectors of the Brazilian economy. Eduardo has an extensive consulting and executive career, having served in positions of consulting partner, management, director, vice president and president of renowned national and multinational companies, including Anderson Clayton, GTE-Sylvania, Conabra (Wilson Meat Packing), São Paulo Alpargatas, Mappin and Dako (today MABE/GE). Eduardo was also Vice-President and Operations Director of the Latinpart holding. In addition to his executive career, Eduardo is also an extra-career professor at EAESP/FGV, in the courses of Globalization and Product and Market Management and Marketing Strategy, in the Graduate courses. Eduardo holds a degree in Business Administration from Fundação Getúlio Vargas and a Masters in Business Administration (M.S.) from Southern Illinois University.

Claudio Luiz Lottenberg See

Cláudio Luiz Lottenberg holds a medical degree from the Paulista School of Medicine of the Federal University of São Paulo (1984), a Master‘s degree in Ophthalmology from the Paulista School of Medicine of the Federal University of São Paulo (1990) and a PhD in Medicine (Ophthalmology) from the Federal University of São Paulo (1994). He received medical residency by the Brazilian Council of Ophthalmology – CBO (1987) and improvement in Ophthalmological Emergencies by Manhathan Eye Ear and Throat (1989). He is currently a Full Member of the Brazilian Society of Ophthalmology Administration, President of the Israelita Albert Einstein Hospital, Advisor to the National Quality Foundation, Advisor to the Board of the Brazilian Council of Ophthalmology, Member of the Brazilian Society of Laser and Ophthalmology Surgery, Member of the Committee of the Federation of Industries of the State of São Paulo, Member of the University of Pittsburgh, Vice President of the Deliberative Council of the Brazil-Israel Chamber of Commerce and Industry.

Márcio Bernardo Spata See

Accountant graduated from UERJ, with an MBA in Finance from IBMEC and CGA, CGE and CFG certifications issued by ANBIMA. He worked as an Accountant at IBGE and as an Officer in the Brazilian Air Force and the Brazilian Navy, both in the Complementary Board of Intendants. At BNDES since 2004, he has a long executive career at BNDESPAR, beginning his career as Manager of the Investment Funds Department, later moving on to Head of the Portfolio Monitoring Department for Privately Held Companies and later reaching the position of Superintendent the Entrepreneurial Capital Area (2016) and the Capital Markets Area (2019). After passing through the Structuring and Divestments Area, he returned to BNDESPAR in 2023 as Head of the Department for Monitoring the Portfolio of Publicly Held Companies, a position he currently holds. He has long experience both in participating in Boards of Directors of companies invested in by BNDESPAR and in Investment Committees of Funds invested in by BNDESPAR.

Anna Emília has a degree in Law from the Milton Campos Law School. He holds a Postgraduate Degree in Management with an emphasis on Business and an Executive MBA, both from Fundação Dom Cabral. She worked as a lawyer in the Tax area from 2005 to 2010. In 2010, she took over the management of Shopping Cidade de Belo Horizonte, where she remains until today.

Pedro Miguel Cordeiro Mateo See

Pedro Cordeiro has been a partner at TMG Capital since 2012. Before joining TMG, Pedro was a partner at Bain and Company, where he led projects with international clients in the Energy, Infrastructure and TMT sectors, and supported several “Private Equity” funds in investments in Brazil. At Bain, Pedro also started the Oil & Gas Practice in Latin America, and headed the Rio de Janeiro office. Pedro was also CEO of Eccelera, a “Private Equity” fund, where he raised three vehicles for investments in the real estate, technology and services sectors in Brazil. He was also a partner at McKinsey & Company, serving clients in Latin America, Europe and the United States in the Consumer Goods, Financial Services and TMT sectors. Prior to that, Pedro was a brand manager at P&G and a researcher in Low Temperature Physics at IVIC in Venezuela. Peter has a BSc. and MSc. in Nuclear Engineering, with a specialty in Plasma Physics, from the Massachusetts Institute of Technology (MIT).

Rafael Yoshio Nakamoto See

He is a partner at TMG Capital and acts as an officer in Private Equity for investments and monitoring of investees in multiple industries. He has C-level management experience as Finance, New Businesses and M&A in Private Equity investees and, before TMG, he worked at Itaú BBA’s Bond, FX and Rates trading desk and at the institutional brokerage Santander. Graduated in Business Administration with a concentration in Finance from Fundação Getulio Vargas – FGV.

Frederico Martins dos Mares Guia See

Graduated in Business Administration with a specialization in Marketing from Universidade UNIP – Uniplan in 2005. He worked as a manager at Bank of America from 1986 to 1990, was head of Credit and Collection service at Fiat Automóveis from 1991 to 1997, at TNT Logistics as assistant to Marketingt in the presidency. He currently holds the position of Cabinet Officer at the Federal Court of Auditors since 2000.

Newton Maia Salomão Alves See

Newton Maia Alves holds an MBA from the Harvard Business School and a bachelor’s degree in Aeronautical Infrastructure Engineering from the Instituto Tecnológico de Aeronáutica (ITA). Before assuming the position of CEO of the International Meal Company, from 2017 to 2021, he worked for 10 years at the multinational private equity company Advent, where he was a member of the Board of Directors of Kroton Educacional and of Atmosfera de Gestão e Higienização de Têxteis. Newton was also CEO of Atmosfera during 2011. Previously, he was founder and CEO of Oceano, a Brazilian shrimp production and export company, which was sold to a regional food company. He also worked at Allen & Company in New York and as a consultant at McKinsey & Co. Newton is also the founder of Associação Amelia Fins Procuro com Foco do Norte (Salão e Assistência in Rio Grande), member of the Board of Directors of Fundação Pitágoras (linked to the Kroton ±today COGNA) and member of the advisory board of Instituto Horas da Vida (non-profit in the health area) and also member of the advisory board of Healthtech Filoo.

Renata Pereira Rodrigues Campos See

Renata is a lawyer and economist. Member of the Ethics Committee of the Development Bank of Minas Gerais and of Desban – Fundação BDMG de Seguridade Social, where she also served as a member of the Deliberative Council, elected as a representative of the employees. As a member of the CD, analyzed and participated in the deliberations about benefit plans and health plans, their regulations, program budgets, cost plans, investment management policy and resource application plan, examination of the annual report and provision of accounts for the year, after due consideration by the Fiscal Council, hiring of an independent auditor, actuary and management evaluator, etc., in compliance with the relevant legislation, statute, regulations and PREVIC regulations. He is currently Superintendent of Operations Structuring and Capital Markets at the Minas Gerais Development Bank – BDMG.

Talita Oliveira Gomes Vanderley See

Graduated in Economic Sciences from PUC-SP. Graduate in Economics from FGV. Career developed in large national and international financial institutions such as Dresdner Bank, ABN AMRO and Banco Safra, working in customer relationships, structuring and management of investment products, distribution and fundraising. CFP certification.

Statutory Board

Biomm’s Executive Directors, the Company‘s legal representatives are elected by the Board of Directors for a period of two years.

In accordance with the Brazilian Corporate Law, all are residents of Brazil.

The Executive Board is responsible for the business administration and complying with and enforcing the Bylaws and resolutions of the Board of Directors and the General Meeting. The board is also responsible for preparing and proposing business, operational and the Company‘s investment plans, as well as their budget.

Heraldo Marchezini has over 20 years of solid experience in the pharmaceutical market in various therapeutic segments. Senior VP of the Sanofi Group’s Latin America Region, holding the Presidency of the Brazilian Operation from February 2011 to July 2013 and is responsible for coordinating all the Group‘s companies in the Region: Pasteur, Genzyme and Merial. Electrical engineer graduated from UFMG in 1977, specialized in Industrial Electronics (UFMG, 1978). Graduated in Business Administration from the University of Pennsylvania, USA (1992). He attended the Advanced Management Program at INSEAD, France (1996). Project Engineer in Telemig (1977-1978). Participated in associations such as ISPE – International Society of Pharmaceutical Engineers and PDA – Parenteral Drug Association. He held the following positions in Biobrás: Executive Board member from 1995 to January 2002, Electrical Engineering Supervisor, Maintenance Manager, Engineering Manager and Industrial Superintendent. Significant experience in public procurement and international negotiations.

Francisco Rafael Costa Junior Commercial Director See

Rafael is the Company’s Commercial Director. Graduated in Pharmacy, with a Masters in Molecular Biology and an MBA from British Columbia University (Canada), is a Pharma and Biotechnology Sales and Marketing Executive, with more than 13 years of experience in companies such as Lilly, Sandoz and UCB. He led markets such as diabetes, osteosporosis, immunology, hematology, oncology and in the last 3 years he was in charge of the biosimilars unit at Amgen.

Renato Arroyo Barbeiro CFO and Investor Relations Officer See

Administrator graduated from Mackenzie University in São Paulo, with an MBA in Financial Planning and Business Control from FAAP and an MBA in Controllership from Mackenzie University. He has 23 years of experience working in the financial market of publicly and privately held national and multinational companies. His last job was as CFO and IT Director at MWM Motores e Geradores, working for 9 years managing the areas of Controllership, Finance, Costs, Strategic Planning, among others.

Priscila Valle Costa de Oliveira See

Administrator graduated from UFRJ with a Masters in Administration with Emphasis in Finance from PUC-Rio. She has been working at the BNDES since 2008, starting her career in the Department of Monitoring and Management of the Open Capital Portfolio of the Capital Markets Area, later passing through the Department of Management of the Complementary Portfolio. She was a services coordinator in the Capital Markets Department and, later, in the Information Management Department. She returned to the Publicly Held Portfolio Monitoring Department as a manager in 2019 and, after working in the Companies Privatization Area, returned to the Capital Markets Area as services coordinator in the Privately Held Companies Portfolio Monitoring Department, a position that currently holds. She was an alternate member of the Board of Directors of Rio Polímeros S.A. (2008-2010) and representative member of BNDESPAR on the Governance and Sustainability Committee of Vale S.A. (2016-2017).

André borges Landim See

He holds a degree in Chemical Engineering from the Federal University of Rio de Janeiro (UFRJ) and an MBA in corporate finance from Fundação Getúlio Vargas (FGV). Currently in the Capital Markets Area, he has worked for 12 years at the BNDES, having worked at the Department of the Industrial Complex and Health Services. He has experience in analysis and monitoring of investment projects, Project Finance and sector analysis in health.

Paulo Knorich Zuffo See

Paulo Knorich Zuffo is a partner and controller of TMG Capital, as well as monitoring the investees. At TMG since 2000, he participated directly in the fund raising process and in the creation of portfolio companies‘ value. He is Professor of Finance, Strategy and Leadership in the MBA courses of the Getúlio Vargas Foundation (FGV-SP), receiving, since 2006, fourteen prizes as honored teacher of the classes formed. Previously, he was a consultant in the management of public and private companies. He was responsible for the development of the indicators for Sustainable and Responsible Business of the Ethos Institute of Business and Social Responsibility (Ethos-Journal Value of Social Responsibility Award). Paulo holds a degree in electronic engineering from the Polytechnic School of the University of São Paulo (USP) and holds an MSc in Business Administration (MSc.) From the School of Business Administration of Fundação Getúlio Vargas – EAESP-FGV.

Accountant graduated from UERJ, with an MBA in Finance from IBMEC and CGA, CGE and CFG certifications issued by ANBIMA. He worked as an Accountant at IBGE and as an Officer in the Brazilian Air Force and the Brazilian Navy, both in the Complementary Board of Intendants. At BNDES since 2004, he has a long executive career at BNDESPAR, beginning his career as Manager of the Investment Funds Department, later moving on to Head of the Portfolio Monitoring Department for Privately Held Companies and later reaching the position of Superintendent the Entrepreneurial Capital Area (2016) and the Capital Markets Area (2019). After passing through the Structuring and Divestments Area, he returned to BNDESPAR in 2023 as Head of the Department for Monitoring the Portfolio of Publicly Held Companies, a position he currently holds. He has long experience both in participating in Boards of Directors of companies invested in by BNDESPAR and in Investment Committees of Funds invested in by BNDESPAR.
