Administrative Council

The Board of Directors consists of 9 Directors who have the primary duty the Company‘s guidance and strategic planning. The Board of Directors is also responsible for outline the Company’s general policies and guidelines and perform the duties conferred to them by the Brazilian Corporation Law.

Cláudio Luiz Lottenberg See

Cláudio Luiz Lottenberg holds a medical degree from the Paulista School of Medicine of the Federal University of São Paulo (1984), a Master‘s degree in Ophthalmology from the Paulista School of Medicine of the Federal University of São Paulo (1990) and a PhD in Medicine (Ophthalmology) from the Federal University of São Paulo (1994). He received medical residency by the Brazilian Council of Ophthalmology – CBO (1987) and improvement in Ophthalmological Emergencies by Manhathan Eye Ear and Throat (1989). He is currently a Full Member of the Brazilian Society of Ophthalmology Administration, President of the Israelita Albert Einstein Hospital, Advisor to the National Quality Foundation, Advisor to the Board of the Brazilian Council of Ophthalmology, Member of the Brazilian Society of Laser and Ophthalmology Surgery, Member of the Committee of the Federation of Industries of the State of São Paulo, Member of the University of Pittsburgh, Vice President of the Deliberative Council of the Brazil-Israel Chamber of Commerce and Industry.

André Capistrano Emrich See

Partner of FIR Capital and member of its Executive Committee. Manager of FIR Capital Fundos de Participações S/A. Member of the Board of Directors of FIR Capital Gestão de Investimentos e Participações S/A. Co-founder and CEO of CafesAll S/A (2000/2001) and Angel Investor at VERTEX Seguros (2001). Graduated in Law from UFMG in 1996, he received the title, with honors, of Master of Laws from Northwestern University School of Law, in 1998. He attended an extension program in capital markets at Harvard University. He received a scholarship granted by the Ministry of Foreign Affairs of Italy, in the Management of Technological Innovations program taught in Rome (1992). Walfrido Silvino dos Mares Guia Neto See

He graduated in Chemical Engineering from the School of Engineering of the Federal University of Minas Gerais in 1966. He also graduated in Business Administration from the Faculty of Economic, Administrative and Accounting Sciences of Belo Horizonte – FUMEC in 1973. He joined the Company in 1966 as one of the founding partners. He held various public positions, the last being during the government of President Luiz Inacio Lula da Silva, Minister of State for Tourism (2003-2007) and Minister – Chief of the Secretariat of Institutional Relations of the Presidency of the Republic (2007). Mr. Walfrido served as a member of the board of directors of Biobrás until 2001, when he was incorporated by Novo Nordisk and currently holds the position of vice chairman of the board of directors of Kroton Educacional.

Luiz Francisco Novelli Viana See

Luiz Francisco is a founding partner and president of TMG Capital. Throughout the history of the fund has led several investments in the areas of Health, IT, Information Services and Telecom, Decision Analytics, Biotechnology, Media and Financial Technologies. Prior to founding TMG, Luiz Francisco was CEO of Latipart between 1995 and 1997, a holding company formed to restructure five private Brazilian companies. Previously, Mr. Viana was a founder, Chairman and CEO of BHM / Arlabank from 1988 to 1994. BHM / Arlabank was a joint venture between BHM, Mr. Viana‘s Investment Banking boutique and Arlabank, an investment consortium bank comprised of banks in the Middle East and Latin America. The company was sold to Assurance General de France (AGF) in 1994; between 1978 and 1989, Mr. Viana was a senior director and later CEO of the HM group, at that time, one of the Brazilian groups with operations in retail and wholesale, financial and credit card distribution with revenues of around U $ 1 billion. Luiz Francisco presides over and acts on various boards of companies, as well as being chairman and founder of GVCepe, a private equity research center in Brazil. Luiz Francisco is also Chairman of the advisory board of the AFECE (association that provides services for children with intellectual disabilities). Luiz Francisco has a degree in Business Administration from the Getúlio Vargas Foundation and a Master‘s Degree in Business Administration from the Harvard Business School in Boston, USA.

Italo Aurelio Gaetani See

He has a degree in Civil Engineering from UFMG in 1961. In 1963, he founded another company, Construtora Castor Ltda., A real estate construction and real estate company based in Belo Horizonte, MG, where he is president. Mr. Gaetani was Director of SINDUSCON (Union of the Civil Construction Industry in MG), was a member of the real estate commission of the Brazilian Chamber of Construction Industry. He has received several awards, among others, the FIEMG Industrial Merit Medal and the CDL-BH Commercial Merit Medal. Mr. Gaetani is one of the main shareholders of Biomm SA. Italo held the position of member of the board of directors of Biobrás until 2001, when it was incorporated by Novo Nordisk.

Eduardo Augusto Buarque de Almeida See

Eduardo Buarque has been a partner at TMG since its inception. At TMG, Eduardo worked in investments in the financial services sector, in addition to leading prospecting efforts in various segments and sectors of the Brazilian economy. Eduardo has an extensive consulting and executive career, having served in positions of consulting partner, management, director, vice president and president of renowned national and multinational companies, including Anderson Clayton, GTE-Sylvania, Conabra (Wilson Meat Packing), São Paulo Alpargatas, Mappin and Dako (today MABE/GE). Eduardo was also Vice-President and Operations Director of the Latinpart holding. In addition to his executive career, Eduardo is also an extra-career professor at EAESP/FGV, in the courses of Globalization and Product and Market Management and Marketing Strategy, in the Graduate courses. Eduardo holds a degree in Business Administration from Fundação Getúlio Vargas and a Masters in Business Administration (M.S.) from Southern Illinois University.

Marcio Pochmann See

Marcio Pochmann is an economist with a degree in Economic Sciences from the Federal University of Rio Grande do Sul (1984), a postgraduate degree in Political Sciences from the Higher Education Association of the Federal District, a doctorate in Economic Science from the State University of Campinas (1993) and competitions researcher at the Center for Trade Union Studies and Labor Economics (1989), professor (1994), Free Professor (2000) and Full Professor (2014) at Unicamp. He is currently a volunteer contributing professor at the Institute of Economics at the State University of Campinas. He has experience in the area of ​​Economics, with an emphasis on Social and Labor Economics, working mainly on the following topics: development, public policies and labor relations. He currently holds the position of President of the Brazilian Institute of Geography and Statistics (IBGE).

Pedro Augusto Mesquita Prado See

Graduated in Administration from FGV (EAESP), Pedro Mesquita, worked for more than 10 years at XP Investimentos where he was the partner responsible for the Investment Bank. Prior to XP, Pedro worked at Banco Itau BBA and the management company RB Capital. Independence Criterion: he is an independent member of the Board of Directors in accordance with the independence criteria contained in CVM Resolution No. 59.

Laura Gomes Castanheira See

Laura Gomes Castanheira is a pharmacist with a master’s degree in Immunoparasitology. She worked for nine years as a civil servant at the National Health Surveillance Agency, occupying technical and especially management positions in the area of ​​medicines (including registration and good manufacturing practices), with an emphasis on biological products, innovation and clinical research. She worked directly on the development of regulatory frameworks in force to date, such as Anvisa’s RDCs for registration and post-registration of biological products, clinical research, etc. Representative of Anvisa in national forums such as GECIS and CONITEC and in international forums and organizations such as ICH, PAHO and WHO. In the last two cases with emphasis on the area of ​​vaccines and biosimilars. She worked for ten years in the public and private Pharmaceutical Industry in the areas of biotechnology, blood products and synthetic medicines, including innovation. In the pharmaceutical industry, she worked in the area of ​​Regulatory Strategy and Institutional Relations, holding a position on the Board of Directors. Pedro Miguel Cordeiro Mateo See

Pedro Cordeiro has been a partner at TMG Capital since 2012. Before joining TMG, Pedro was a partner at Bain and Company, where he led projects with international clients in the Energy, Infrastructure and TMT sectors, and supported several “Private Equity” funds in investments in Brazil. At Bain, Pedro also started the Oil & Gas Practice in Latin America, and headed the Rio de Janeiro office. Pedro was also CEO of Eccelera, a “Private Equity” fund, where he raised three vehicles for investments in the real estate, technology and services sectors in Brazil. He was also a partner at McKinsey & Company, serving clients in Latin America, Europe and the United States in the Consumer Goods, Financial Services and TMT sectors. Prior to that, Pedro was a brand manager at P&G and a researcher in Low Temperature Physics at IVIC in Venezuela. Peter has a BSc. and MSc. in Nuclear Engineering, with a specialty in Plasma Physics, from the Massachusetts Institute of Technology (MIT).

Davi Khattar See

Davi Khattar, CFA with 15 years of experience in the financial market, 12 of which directly in the areas of equity analysis and management. He has a degree in Production Engineering from the Federal University of Rio de Janeiro (UFRJ) and has been a CFA charterholder since 2014. He began his career in 2009 at Gávea Investimentos, having worked in the areas of operations, risk and variable income management. In 2016 he migrated to JPM Asset Management, with the same team, mandate and functions. In 2017 he joined Investment One Partners / Atlas One as a partner, analyst and member of the investment committee and in 2022 he became a manager.

Frederico Martins dos Mares Guia See

Graduated in Business Administration with a specialization in Marketing from Universidade UNIP – Uniplan in 2005. He worked as a manager at Bank of America from 1986 to 1990, was head of Credit and Collection service at Fiat Automóveis from 1991 to 1997, at TNT Logistics as assistant to Marketingt in the presidency. He currently holds the position of Cabinet Officer at the Federal Court of Auditors since 2000.

Geraldo Bernardes Franco de Moura is currently a shareholder and member of the Board of Directors of Gelf Siderurgia SA. He is a partner at FIR Capital and a member of the Board of ABC da Construção. He is a Venture Partner at Invisto Capital. Previously he was director and CEO of Grupo Plantar and served as an associate in the Private Equity Funds of Brookfield Asset Management in New York. He was an alternate member of the Board of Directors of Bahema Educação. Geraldo is a supporter of Fundação Estudar. He has a degree in Business Administration with an MBA from Cornell University.

Paulo Knörich Zuffo See

aulo Knorich Zuffo is a partner and controller at TMG Capital, in addition to monitoring investee companies. At TMG since 2000, he participated directly in the fundraising process and in the creation of value for portfolio companies. He is a professor of Finance, Strategy and Leadership in the MBA courses at Fundação Getúlio Vargas (FGV-SP), receiving fourteen awards since 2006 as an honored professor of graduating classes. Previously, he was a management consultant for public and private companies, being responsible for developing the indicators for Sustainable and Responsible Business of the Ethos Institute of Business and Social Responsibility (base of the Ethos-Jornal Valor Social Responsibility Award). Paulo has a degree in electronic engineering from the Polytechnic School of the University of São Paulo (USP) and an Academic Master’s degree in Business Administration (MSc.) from the School of Business Administration of Fundação Getúlio Vargas – EAESP-FGV.

Rodrigo Godoi Rincon See

Rodrigo has a degree in Civil Engineering from Unicamp. He has 8 years of experience in Mergers and Acquisitions and Private Equity. He began his professional career in the Private Equity team at GP Investimentos and later pursued a career in Investment Banking, participating in complex negotiations and strategic transactions at houses such as Estáter, Evercore and One Partners. In 2022 he joined the Patria Investimentos team working on the Private Equity team. Since February 2024 he has been responsible for the Sports & Entertainment area at EXA Capital.

Statutory Board

Biomm’s Executive Directors, the Company‘s legal representatives are elected by the Board of Directors for a period of two years.

In accordance with the Brazilian Corporate Law, all are residents of Brazil.

The Executive Board is responsible for the business administration and complying with and enforcing the Bylaws and resolutions of the Board of Directors and the General Meeting. Francisco Rafael Costa Junior Commercial Director See

Rafael is the Company’s Commercial Director. Graduated in Pharmacy, with a Masters in Molecular Biology and an MBA from British Columbia University (Canada), is a Pharma and Biotechnology Sales and Marketing Executive, with more than 13 years of experience in companies such as Lilly, Sandoz and UCB. He led markets such as diabetes, osteosporosis, immunology, hematology, oncology and in the last 3 years he was in charge of the biosimilars unit at Amgen.

Laura Gomes Castanheira is a pharmacist with a master’s degree in Immunoparasitology. She worked for nine years as a civil servant at the National Health Surveillance Agency, occupying technical and especially management positions in the area of ​​medicines (including registration and good manufacturing practices), with an emphasis on biological products, innovation and clinical research. She worked directly on the development of regulatory frameworks in force to date, such as Anvisa’s RDCs for registration and post-registration of biological products, clinical research, etc. Representative of Anvisa in national forums such as GECIS and CONITEC and in international forums and organizations such as ICH, PAHO and WHO. In the last two cases with emphasis on the area of ​​vaccines and biosimilars. She worked for ten years in the public and private Pharmaceutical Industry in the areas of biotechnology, blood products and synthetic medicines, including innovation. In the pharmaceutical industry, she worked in the area of ​​Regulatory Strategy and Institutional Relations, holding a position on the Board of Directors. Marcio Pochmann is an economist with a degree in Economic Sciences from the Federal University of Rio Grande do Sul (1984), a postgraduate degree in Political Sciences from the Higher Education Association of the Federal District, a doctorate in Economic Science from the State University of Campinas (1993) and competitions researcher at the Center for Trade Union Studies and Labor Economics (1989), professor (1994), Free Professor (2000) and Full Professor (2014) at Unicamp.
